These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Good Samaritan Software, LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of the moder8r.app website, API, dashboard, and all related services (collectively, the “Service”).

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 14. PLEASE READ IT CAREFULLY.

1. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration and Security

2.1. You must provide a valid email address and create a password to register.

2.2. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and API keys.

2.3. You are responsible for all activity that occurs under your account, whether or not authorized by you.

2.4. You must notify us immediately at support@moder8r.app if you become aware of any unauthorized use of your account or API keys.

2.5. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms.

3. API Keys

3.1. API keys are credentials that authenticate your requests to the Service. You may generate multiple API keys through the dashboard.

3.2. Your API key is displayed in full once at the time of creation. We store only a SHA-256 cryptographic hash of the key. If you lose your key, it cannot be recovered and you must generate a new one.

3.3. You must treat API keys as confidential credentials. Do not embed API keys in client-side code, public repositories, or any publicly accessible location.

3.4. You are responsible for all usage incurred through your API keys, regardless of whether such usage was authorized by you.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You shall NOT:

  • Use the Service to violate any applicable local, state, national, or international law or regulation
  • Submit content to the moderation API for any purpose other than content moderation and safety
  • Attempt to reverse-engineer, decompile, or derive the underlying algorithms, models, or source code of the Service
  • Circumvent, disable, or interfere with rate limits, quotas, authentication, or any other security or access-control features
  • Use the Service to build a competing content moderation product or service
  • Share, resell, or sublicense access to the Service or your API keys to third parties without our prior written consent
  • Transmit viruses, malware, or any code of a destructive nature
  • Use automated means to create accounts, generate API keys, or abuse free tier allocations
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service
  • Use the moderation results as the sole basis for legal action, law enforcement decisions, or actions that materially affect individuals' rights without human review

5. Service Description and Limitations

5.1. The Service provides AI-powered content moderation through a REST API. The Service analyzes text content and returns moderation scores and classifications across multiple categories.

5.2. THE SERVICE USES ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING MODELS THAT ARE INHERENTLY PROBABILISTIC. MODERATION RESULTS ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR ERROR-FREE. The Service may produce false positives (incorrectly flagging benign content) and false negatives (failing to flag harmful content).

5.3. You are solely responsible for how you use moderation results within your application. We recommend implementing human review processes for content moderation decisions that materially affect users.

5.4. We reserve the right to modify, update, or change the moderation models, categories, scoring algorithms, and API response formats at any time. We will make commercially reasonable efforts to notify you of breaking changes in advance.

6. Subscription Plans and Billing

6.1 Free Tier

The free tier provides limited access to the Service at no charge. The free tier is subject to usage limits as described on the pricing page. We reserve the right to modify or discontinue the free tier at any time.

6.2 Paid Subscriptions

Paid plans are billed on a monthly or annual recurring basis through Stripe. By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method on a recurring basis until you cancel.

6.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through the billing dashboard or Stripe Customer Portal.

6.4 Refund Policy

All fees are non-refundable except as required by applicable law. If you cancel a paid subscription, you will retain access to the paid tier through the end of your current billing period. No prorated refunds will be issued for partial billing periods.

6.5 Price Changes

We may change subscription prices with at least thirty (30) days' prior notice. Price changes will take effect at the start of the next billing period following the notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

6.6 Usage Limits

Each plan includes a monthly request quota and per-minute rate limit as described on the pricing page. Requests exceeding the monthly quota will be rejected with a 402 status code. Requests exceeding the rate limit will be rejected with a 429 status code.

7. Intellectual Property

7.1. The Service, including all software, algorithms, APIs, user interfaces, documentation, trademarks, and all other intellectual property, is and remains the exclusive property of Good Samaritan Software, LLC.

7.2. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms for the duration of your subscription.

7.3. You retain all rights to the content you submit to the Service for moderation. By submitting content, you grant us a limited, temporary license to process that content solely for the purpose of providing moderation results to you.

7.4. The moderation results (scores, classifications, flags) generated by the Service are provided to you for your use in connection with your application. You may not use moderation results to train competing AI models.

8. Your Content and Data

8.1. You are solely responsible for the content you submit to the Service for moderation. We do not monitor, pre-screen, or endorse any content submitted to the API.

8.2. Content submitted via the API is processed in real time and is not permanently stored by us. See our Privacy Policy for details on data handling and retention.

8.3. You represent and warrant that you have all necessary rights and permissions to submit content to the Service and that your use of the Service does not violate the rights of any third party.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF MODERATION RESULTS
  • ANY WARRANTY THAT THE SERVICE WILL DETECT ALL HARMFUL, OFFENSIVE, OR OBJECTIONABLE CONTENT
  • ANY WARRANTY THAT THE SERVICE WILL NOT INCORRECTLY FLAG BENIGN CONTENT

YOU ACKNOWLEDGE THAT AI-BASED CONTENT MODERATION IS IMPERFECT AND THAT THE SERVICE SHOULD NOT BE RELIED UPON AS THE SOLE MECHANISM FOR CONTENT SAFETY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOOD SAMARITAN SOFTWARE, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REPUTATION
  • ANY DAMAGES ARISING FROM THE FAILURE TO DETECT HARMFUL CONTENT OR THE INCORRECT FLAGGING OF CONTENT
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA
  • ANY DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF THE SERVICE

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Good Samaritan Software, LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of the Service
  • Content you submit to the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of the rights of any third party
  • Any claim by a third party related to content moderation decisions you make based on results from the Service
  • Unauthorized use of your account or API keys

12. Service Availability and Modifications

12.1. We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

12.2. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes.

12.3. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Termination

13.1. You may terminate your account at any time by contacting support@moder8r.app or cancelling your subscription through the billing dashboard.

13.2. We may suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties.

13.3. Upon termination, your right to use the Service ceases immediately. We may delete your account data within thirty (30) days following termination, except as required by law.

13.4. Sections 7, 9, 10, 11, 14, and 15 shall survive termination of these Terms.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact us at support@moder8r.app and attempt to resolve the dispute informally for at least thirty (30) days.

14.2 Binding Arbitration

IF WE CANNOT RESOLVE A DISPUTE INFORMALLY, YOU AND THE COMPANY AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT.

Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. General Provisions

15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.

15.2 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.

15.3 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.4 Waiver. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or failures of third-party service providers.

15.7 Notices. We may provide notices to you via email to the address associated with your account or by posting on the Service. You may provide notices to us at support@moder8r.app.

15.8 No Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any person or entity other than the parties hereto.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last Updated” date and, for significant changes, by sending an email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
